<P>　　本报讯　给公司带来经济损失金额达到多少属严重违反公司规章制度？何谓公司声誉造<BR>成重大损害？……最近，上海日立电梯营销工程有限公司在修订《员工手册》时，对这一系<BR>列涉及职工切身利益的关键条款都进行了量化，从而使管理者和普通职工全都“明明白白”，<BR>有效避免了潜在劳动争议的发生。</P>
<P>　　在《劳动合同法》中，严重违反用人单位的规章制度被列为用人单位可以解除劳动合同<BR>的条件之一。《劳动合同法》实施以来，因规章制度制定不明确引发的劳动争议呈日益增多<BR>的趋势。为了避免潜在的劳动争议，该公司全面修订了《员工手册》，对一系列关键指标进<BR>行了量化。比如，严重违反公司规章制度，公司将予以辞退一项，明确了“严重”的指标，<BR>即无正当理由连续缺勤达到7天以上或在6个月内累计缺勤9天以上；因违反工作或安全制度<BR>给公司带来经济损失5000元以上或使他人受伤需要住院治疗的；因工作失职而使公司声誉造<BR>成重大损害，引起媒体报道或同一事件客户书面投诉两次以上的（包括两次）；累计记过3<BR>次或同一事件受到警告3次的等等。同时，对记过、警告的处罚也有相应的详细规定。</P>
<P>　　这家公司虽然是一家民营企业，但该公司老板清醒地认识到，要让规章制度成为推动企<BR>业健康发展的有效杠杆，量化指标不能由公司行政一家说了算。在修订《员工手册》过程中，<BR>他们根据有关法律规定，首先将《员工手册》修订内容提交职工大会讨论，再通过群发邮件<BR>等方式广泛征求意见，最后经工会与行政平等协商拍板定稿。《员工手册》修订完成后，他<BR>们又向全体职工分发，人手一册，如果有不清楚的，人人有权随时向公司咨询。</P>
<P>　　不少职工对此表示，《员工手册》对厂规厂纪进行量化，我们的权利和义务更加明明白<BR>白，可以起到很好的警示作用。</P>

<P>　　北京市惠诚律师事务所上海分所宋普文律师：《劳动合同法》对用人单位规章制度的制<BR>定提出了较高要求。含糊、模棱两可的规定，其实给予用人单位更大的裁量权，对职工是不<BR>利的。该单位的做法，不仅可以在企业与职工之间建立起一种“透明”的信任，而且还可以<BR>通过事先提醒，有效地避免一系列严重违反用人单位规章制度的行为发生，避免一系列潜在<BR>的劳动争议。当然，修订《员工手册》，量化厂规厂纪，还必须走法定程序，经职工代表大<BR>会（职工大会）审议通过，或者与工会进行平等协商取得一致意见后才能实施。李琳</P></DIV>]]></description>

mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">条规定，建立劳动关系，应当订立书面劳动合同。这一规定重申了《劳动法》的规定，即在我国建立劳动关系需要订立书面的劳动合同。但是，在实践中，大多数企业至今仍有一个错误的认识，认为签订劳动合同就是将自己套牢，没有合同就与职工没有劳动关系，可以规避法律的规定自由处置员工的录用与辞退，而且还可以不缴、少缴税款和社会保险，即使员工去告，也会因缺乏证据而不了了之。其实不然，劳动和社会保障部在</SPAN></STRONG><STRONG><SPAN lang=EN-US style="mso-bidi-font-family: 宋体">2005</SPAN></STRONG><STRONG><SPAN style="FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">年专门发布的《关于确立劳动关系有关事项的通知</SPAN></STRONG><STRONG><SPAN lang=EN-US style="mso-bidi-font-family: 宋体">&nbsp;</SPAN></STRONG><STRONG><SPAN style="FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">》中早已明确，在用人单位未与劳动者签订劳动合同，认定双方存在劳动关系时可参照的凭证，包括（</SPAN></STRONG><STRONG><SPAN lang=EN-US style="mso-bidi-font-family: 宋体">1</SPAN></STRONG><STRONG><SPAN style="FONT-FAMILY: 宋体; <P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; LAYOUT-GRID-MODE: char; TEXT-INDENT: 24pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; LINE-HEIGHT: 150%; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt"><FONT color=#000000>也就是说单位解除劳动合同时必须要提供证据，让仲裁或者法院能够采纳你的理由。关于那些证据可以使仲裁或者法院采纳呢，这是个十分复杂的事情，往往某个领导认为某个员工表现不好，或者我们自己认为好像证据很充分了，就把员工解除了，但实际上企业面临很大的风险，员工违纪的证据还是十分难以收集的，并且有一定的技巧性和专业度。希望我们用人单位在解除劳动合同时要谨慎。<SPAN lang=EN-US><O:P></O:P></SPAN></FONT></SPAN></P>

<P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 25pt; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; COLOR: black; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">对劳动者的竞业禁止可以分在职期间的竞业禁止和离职后的竞业禁止两种情况。针对《劳动合同法》第二十三条规定，“用人单位与劳动者可以在劳动合同中约定保守用人单位的商业秘密和与知识产权相关的保密事项。对负有保密义务的劳动者，用人单位可以在劳动合同或者保密协议中与劳动者约定竞业限制条款，并约定在解除或者终止劳动合同后，在竞业限制期限内按月给予劳动者经济补偿。”此条规定是国劳动合同法对劳动者离职后的竞业限制，对于劳动者在职期间的竞业限制主要规定是，第三十九条第四项规定，即“劳动者同时与其他用人单位建立劳动关系，对完成本单位的工作任务造成严重影响，或者经用人单位提出，拒不改正的；用人单位可以解除劳动合同。”但是本文主要探析劳动者离职后的竞业禁止中遇到的问题。<SPAN lang=EN-US><o:p></o:p></SPAN></SPAN></P>
<P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 25pt; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; COLOR: black; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">竞业禁止合同是用人单位通过合同的方式对劳动者就业权限的某种限制，本质系用人单位与劳动者间的契约关系。但这种契约关系特殊性在于对劳动者劳动权的限制，而劳动权是公民维系生存的基本人身权利，是宪法保障实施的公民基本权利。因此，为保护劳动者合法权益，劳动仲裁或法院可以利用职权给予劳动者救济，审查竞业禁止合同的合理性、合法性，是否违反公共利益，是否有损劳动者的基本生活利益。<SPAN lang=EN-US><o:p></o:p></SPAN></SPAN></P>
<P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 25pt; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; COLOR: black; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">契约自由本是当今调整民事、经济关系的基本准则之一。在大部分的民商事领域，“契约就是法律”，这体现了当事人在民事、经济活动中的意思自治，与世界经济的总体发展趋势一致。但是由于劳动者与用人单位在签订竞业禁止合同时，所处的地位并不完全平等。用人单位与劳动者在企业事务中是管理者与被管理者关系，用人单位处于强势地位。劳动者为避免失去现时或潜在的劳动就业机会，往往违背真实意志迁就企业签订竞业禁止合同。当前这种情况尤其发生在有较大用工自由权的私营、三资等企业。从这角度认识，竞业禁止协议具有不对等因素，这有违真正意义上的意思自治原则。<SPAN lang=EN-US><o:p></o:p></SPAN></SPAN></P>
<P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 25pt; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; COLOR: black; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">但是，根据《劳动合同法》的规定，用人单位与劳动者签订竞业禁止协议又是企业保护其商业秘密的强有力、合法的手段。竞业禁止的制度目的是尽量淡化劳动者在职期间掌握用人单位的商业秘密和竞争优势。用人单位通过对劳动者离职后择业的合理限制，能够保障企业获得竞争优势，促进企业健康快速发展。<SPAN lang=EN-US><o:p></o:p></SPAN></SPAN></P>
<P class=MsoNormal style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 25pt; mso-char-indent-count: 2.0"><SPAN style="FONT-SIZE: 12pt; COLOR: black; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">总之，在考虑竞业禁止协议时，主要要把握以下几个原则：（一）要鼓励劳动力的正常流动，促进劳动关系的和谐发展。做到均衡企业与劳动者利益，既要充分发挥劳动者的聪明才智，为社会多作贡献，又要保护企业正当的技术和经营信息，保障企业获得合法的垄断利益。（二）要注意保护企业的商业秘密。在竞业禁止纠纷中，往往夹杂着对原用人单位商业秘密的侵犯。在这类案件中，一方面要加大保护企业商业秘密力度，侵犯他人商业秘密的，要及时、公正依法处理，另一方面要保障劳动力的自由流动、信息自由和自由竞争，要在两方面间寻找平衡点。（三）要适当注意保护劳动者利益。尤其我国目前劳动集体谈判制度尚处萌芽阶段，单个劳动者在劳动合同及其竞业禁止协议等的谈判中处于弱势，有必要适度向劳动者倾斜，恰当发挥保护弱势群体的平衡作用。<SPAN lang=EN-US><o:p></o:p></SPAN></SPAN></P>]]></description>

<P style="MARGIN: 0px">　　<BR>各省、自治区、直辖市劳动和社会保障厅（局）：</P>
<P style="MARGIN: 0px"><BR>　　根据《全国年节及纪念日放假办法》（国务院令第513号）的规定，全体公民的节日假期由原来的10天增设为11天。据此，职工全年月平均制度工作天数和工资折算办法分别调整如下：</P>
<P style="MARGIN: 0px"><BR>一、制度工作时间的计算</P>
<P style="MARGIN: 0px"><BR>　　年工作日：365天-104天（休息日）-11天（法定节假日）＝250天</P>
<P style="MARGIN: 0px"><BR>　　季工作日：250天÷4季＝62.5天/季</P>
<P style="MARGIN: 0px"><BR>　　月工作日：250天÷12月＝20.83天/月</P>
<P style="MARGIN: 0px"><BR>　　工作小时数的计算：以月、季、年的工作日乘以每日的8小时。</P>
<P style="MARGIN: 0px"><BR>二、日工资、小时工资的折算</P>
<P style="MARGIN: 0px"><BR>　　按照《劳动法》第五十一条的规定，法定节假日用人单位应当依法支付工资，即折算日工资、小时工资时不剔除国家规定的11天法定节假日。据此，日工资、小时工资的折算为：</P>
<P style="MARGIN: 0px"><BR>　　日工资：月工资收入÷月计薪天数</P>
<P style="MARGIN: 0px"><BR>　　小时工资：月工资收入÷（月计薪天数×8小时）。</P>
<P style="MARGIN: 0px"><BR>　　月计薪天数＝（365天-104天）÷12月＝21.75天</P>
<P style="MARGIN: 0px"><BR>三、2000年3月17日劳动保障部发布的《关于职工全年月平均工作时间和工资折算问题的通知》（劳社部发[2000]8号）同时废止。</P>
